1. Welcome

Welcome to NestHappy.

These Provider Terms & Conditions (“Terms”) govern your use of the NestHappy website, mobile applications and related services (collectively referred to as the Platform).

By creating a provider account, completing onboarding, accepting bookings or providing services through the Platform, you confirm that you have read, understood and agree to these Terms.

If you do not agree to these Terms, you must not register as a provider.


2. About NestHappy

NestHappy is an online marketplace that connects customers with independent self-employed service providers.

NestHappy facilitates:

  • Provider onboarding
  • Customer bookings
  • Secure payments
  • Messaging
  • Reviews
  • Identity verification
  • Platform support

NestHappy is not your employer.

You remain an independent self-employed business responsible for delivering your own services.


3. Self-Employed Status

All providers using the Platform operate as independent contractors.

Nothing within these Terms shall create:

  • Employment
  • Partnership
  • Agency
  • Joint Venture

between NestHappy and any provider.

Providers remain solely responsible for:

  • Income Tax
  • National Insurance
  • VAT registration (where applicable)
  • Business expenses
  • Insurance
  • Legal obligations

4. Provider Eligibility

To register as a provider you must:

  • Be at least 18 years old.
  • Be legally entitled to work where applicable.
  • Complete NestHappy onboarding.
  • Provide accurate information.
  • Maintain valid contact details.
  • Hold any required insurance.
  • Meet any service-specific requirements.

NestHappy reserves the right to refuse or terminate applications without providing a reason.


5. Provider Account

You are responsible for:

  • Maintaining accurate information.
  • Updating contact details.
  • Keeping passwords secure.
  • Keeping uploaded documents current.
  • Maintaining your availability.

You must not allow another person to use your account.


6. Identity Verification

All providers must complete identity verification before offering services.

Acceptable identification may include:

  • Passport
  • Driving Licence
  • Government-issued identification

NestHappy may request additional information where necessary.


7. Right to Work Verification

Where applicable, providers must successfully complete Right to Work verification.

Failure to maintain valid eligibility may result in immediate suspension.


8. Insurance

Providers must maintain suitable Public Liability Insurance covering the services they provide.

Insurance must remain valid at all times.

Providers are responsible for:

  • Renewing policies
  • Uploading updated certificates
  • Ensuring adequate cover

Failure to maintain valid insurance may result in suspension.


9. DBS Requirements

Certain services require a DBS check.

Where DBS verification is mandatory, providers may not accept bookings until approved.

If a DBS expires, the relevant service category may be suspended until a valid certificate has been uploaded.


10. Service-Specific Qualifications

Some services require additional qualifications.

Examples include:

Pet Services

Recommended:

  • Pet First Aid

Mandatory:

  • Basic DBS
  • Insurance covering pet care

House Sitting

Mandatory:

  • Basic DBS

Recommended:

  • Pet First Aid (if pets are involved)

Home Chef

Mandatory:

  • Food Hygiene Certificate

DIY

Recommended:

  • Trade qualifications
  • Specialist insurance where appropriate

Child Services (Future)

Mandatory:

  • Enhanced DBS
  • Safeguarding training
  • Additional approval by NestHappy

11. Stripe Connect

Providers must connect a Stripe account before accepting bookings.

Stripe is used to:

  • Receive payments
  • Verify banking information
  • Process payouts securely

NestHappy does not hold provider earnings beyond normal processing requirements.


12. Provider Profile

Providers are responsible for maintaining an accurate profile.

Profiles should include:

  • Biography
  • Services offered
  • Areas covered
  • Availability
  • Photographs
  • Qualifications
  • Experience

Providing false information may result in removal from the Platform.


13. Provider Badges

NestHappy may display badges including:

Badges may be removed where supporting documents expire.


14. Availability

Providers control:

  • Working hours
  • Service areas
  • Availability
  • Time off

NestHappy does not guarantee a minimum number of bookings.


15. Accepting Bookings

Providers are expected to respond promptly to booking requests.

Repeated failure to respond or repeated declines may affect future booking opportunities.

Providers should only accept work they are confident they can complete safely and professionally.


16. Provider Responsibilities

Providers agree to:

  • Deliver services professionally.
  • Treat customers respectfully.
  • Arrive on time.
  • Follow customer instructions.
  • Respect customer privacy.
  • Maintain confidentiality.
  • Work safely.
  • Comply with all applicable laws.

17. Professional Conduct

Providers must:

  • Behave courteously.
  • Maintain a professional appearance.
  • Wear suitable clothing.
  • Communicate respectfully.
  • Avoid inappropriate language or behaviour.
  • Never smoke, consume alcohol or illegal drugs while providing services.

Part 2 – Bookings, Service Delivery & Professional Standards


18. Receiving Bookings

Booking requests will be sent through the NestHappy Provider App.

Booking notifications may be sent by:

  • Push notification
  • Email
  • SMS (where available)

Providers are responsible for ensuring notifications remain enabled.

NestHappy accepts no responsibility for missed bookings due to disabled notifications or outdated contact information.


19. Accepting or Declining Bookings

Providers are free to accept or decline booking requests.

However, repeated:

  • Declined bookings
  • Missed booking requests
  • Cancelled accepted bookings

may affect provider visibility within the Platform.

Providers should only accept bookings they can complete professionally and safely.


20. Preparing for a Booking

Before travelling to a booking providers should review:

  • Customer address
  • Access instructions
  • Service booked
  • Add-on services
  • Customer notes
  • Parking arrangements
  • Special requirements

Providers should ensure they have all equipment required before attending.


21. Arrival Procedure

Providers are expected to arrive on time.

Upon arrival providers should:

βœ” Confirm arrival using the NestHappy App (future feature).

βœ” Send a message confirming arrival if required.

βœ” Wait for customer access.

Professional communication is encouraged at all times.


22. Customer No Show Procedure

If the customer cannot be contacted or access cannot be obtained:

The provider should:

  1. Send a message confirming arrival.
  2. Attempt to telephone the customer.
  3. Wait 15 minutes.

If no access is provided:

The booking may be recorded as:

Unable to Gain Access

Providers are encouraged to upload a time-stamped photograph of the property's entrance (ensuring no personal information is visible).

This evidence may assist NestHappy in resolving disputes.


23. Provider No Shows

Providers should honour all accepted bookings.

If attendance becomes impossible due to illness, emergency or unforeseen circumstances, providers should:

  • Notify the customer immediately.
  • Notify NestHappy.
  • Cancel the booking as soon as possible.

Repeated Provider No Shows may result in:

  • Reduced visibility
  • Warning
  • Temporary suspension
  • Permanent removal

24. Punctuality

Providers should arrive within the agreed booking window.

Unexpected delays should be communicated immediately.

Professional communication helps maintain customer confidence.


25. Customer Communication

Providers should communicate respectfully.

Communication should remain:

Professional

Courteous

Relevant to the booking

Harassment, discrimination or offensive language will not be tolerated.


26. Property Access

Providers should only enter a property once permission has been granted.

If access instructions are unclear, providers should contact the customer.

Providers should never force entry or enter properties without permission.


27. Keys & Security

Where customers provide keys or alarm codes providers agree to:

  • Keep keys secure.
  • Never duplicate keys.
  • Never share access codes.
  • Lock all doors before leaving.
  • Follow customer security instructions.

Providers are responsible for safeguarding customer property whilst in their care.


28. Safe Working Environment

Providers have the right to refuse work where they believe the environment is unsafe.

Examples include:

  • Dangerous pets
  • Aggressive behaviour
  • Illegal activity
  • Structural hazards
  • Biohazards
  • Unsafe electrical equipment

NestHappy should be informed immediately.


29. Professional Standards

Providers agree to:

  • Work carefully.
  • Respect customer property.
  • Follow customer instructions.
  • Deliver services to a professional standard.
  • Treat all customers fairly.
  • Maintain a clean appearance.

30. Cleaning Standards

Cleaning providers should complete the tasks included within the booked package.

Where time allows, providers should work methodically to achieve the highest possible standard.

Additional work outside the booking should not be undertaken unless agreed through the Platform.


31. Future Service Standards

As NestHappy grows, providers may apply to offer additional services.

Examples include:

  • Pet Services
  • House Sitting
  • Gardening
  • Home Chef
  • DIY
  • Child Services (future)

Each service may have separate operational standards.


32. Pet Services

Providers approved for Pet Services agree to:

  • Treat every animal with kindness.
  • Follow owner instructions.
  • Never use physical punishment.
  • Ensure fresh water is available.
  • Follow feeding instructions.
  • Report illness or injury immediately.
  • Keep pets secure.
  • Carry waste bags when dog walking.
  • Follow the NestHappy Pet Care Standards.

33. House Sitting

House Sitting providers agree to:

  • Respect the customer's home.
  • Never invite visitors.
  • Keep the property secure.
  • Follow security instructions.
  • Care for pets where required.
  • Water plants if requested.
  • Bring in post if requested.
  • Leave the property clean and tidy.

A Basic DBS is mandatory for House Sitting.


34. Home Chef

Providers offering Home Chef services agree to:

  • Maintain excellent food hygiene.
  • Follow allergy instructions.
  • Prevent cross-contamination.
  • Prepare food safely.
  • Hold a valid Food Hygiene Certificate.

35. Gardening

Gardening providers agree to:

  • Use equipment safely.
  • Dispose of waste where agreed.
  • Leave gardens tidy.
  • Respect neighbouring properties.

36. DIY Services

DIY providers agree to:

  • Work safely.
  • Only undertake work within their competence.
  • Hold appropriate insurance.
  • Comply with relevant regulations.

Providers should not undertake regulated electrical or gas work unless legally qualified.


37. Child Services (Future)

Should NestHappy introduce childcare services, providers will require:

  • Enhanced DBS
  • Safeguarding Training
  • Additional Approval

These requirements will be introduced separately before childcare services become available.


38. Reviews

Providers should encourage honest reviews.

Providers must never:

  • Offer incentives for reviews.
  • Pressure customers.
  • Create fake reviews.
  • Ask others to submit misleading reviews.

NestHappy reserves the right to remove inappropriate reviews.


39. Payments

Payments are processed through Stripe Connect.

Providers receive payment after successful completion of bookings.

Processing times may vary.


40. Commission

NestHappy deducts the agreed commission before provider payments are released.

Commission rates may vary depending upon provider tier.

Providers will be notified of any changes.


41. Taxes

Providers remain responsible for:

  • Income Tax
  • National Insurance
  • VAT (where applicable)

NestHappy does not deduct tax on behalf of providers.


42. Off Platform Bookings

Providers must not encourage customers to book directly outside NestHappy.

This includes:

  • Sharing personal telephone numbers for future bookings.
  • Accepting cash to avoid platform fees.
  • Offering discounted off-platform work.

Breaches may result in immediate suspension.


43. Complaints

If a complaint is received, providers agree to cooperate fully.

NestHappy may request:

  • Photographs
  • Messages
  • Booking details
  • Statements

Failure to cooperate may affect continued use of the Platform.


44. Damage Reporting

If accidental damage occurs providers should:

  • Inform the customer immediately.
  • Report the incident through the Platform.
  • Provide photographs where appropriate.
  • Cooperate with any investigation.

45. Emergencies

If a provider believes there is an immediate risk to:

  • Customer
  • Child
  • Animal
  • Property

they should contact the appropriate emergency services before notifying NestHappy where necessary.


Part 3 – Platform Rules, Compliance & Legal Terms


46. Provider Suspension

NestHappy reserves the right to temporarily suspend or permanently remove a provider from the Platform where necessary to protect customers, other providers or the integrity of the Platform.

Suspension may occur where there is evidence of:

  • Fraudulent activity.
  • False information supplied during onboarding.
  • Expired mandatory documentation.
  • Failure to maintain required insurance.
  • Failure to maintain required DBS verification.
  • Repeated customer complaints.
  • Repeated provider no-shows.
  • Unsafe working practices.
  • Harassment or discrimination.
  • Abuse of customers.
  • Abuse of NestHappy staff.
  • Criminal behaviour affecting customer trust.
  • Serious breaches of these Terms.
  • Attempting to circumvent the Platform by arranging off-platform bookings.

Suspension may be temporary while an investigation is undertaken or permanent where NestHappy considers this appropriate.


47. Document Expiry

Providers are responsible for ensuring all required documents remain valid at all times.

These may include:

  • Public Liability Insurance
  • Right to Work verification
  • Basic DBS
  • Enhanced DBS (future child services)
  • Food Hygiene Certificate
  • Pet First Aid Certificate
  • Trade qualifications
  • Any other documentation required for specific services.

Providers should upload updated documents before expiry.

NestHappy may send reminder notifications; however, maintaining valid documentation remains the provider's responsibility.

Where mandatory documentation expires, NestHappy may automatically suspend the affected service category until updated documents have been approved.

Examples:

  • Expired Public Liability Insurance – all affected services suspended.
  • Expired Basic DBS – Pet Services and House Sitting suspended.
  • Expired Enhanced DBS – Future Child Services suspended.
  • Expired Food Hygiene Certificate – Home Chef services suspended.

48. Provider Verification Badges

NestHappy may display verification badges to assist customers in making informed decisions.

Examples include:

Badges remain the property of NestHappy and may be added or removed at any time.

Where supporting documentation expires or is withdrawn, the relevant badge may be removed automatically.


49. Fraud Prevention

Providers must act honestly and professionally at all times.

Fraudulent activity includes, but is not limited to:

  • Providing false identification.
  • Uploading fraudulent insurance documents.
  • Uploading fraudulent qualifications.
  • Falsifying DBS certificates.
  • Creating fake reviews.
  • Booking manipulation.
  • Attempting to claim payment for work not completed.
  • Deliberately misleading customers.
  • Misusing promotional offers.
  • Creating duplicate provider accounts.

NestHappy reserves the right to suspend accounts immediately while investigating suspected fraud.

Serious fraud may be reported to the relevant authorities.


50. Confidentiality

Providers may receive confidential customer information including:

  • Addresses
  • Telephone numbers
  • Email addresses
  • Alarm codes
  • Access arrangements
  • Personal information
  • Pet information
  • Medical or care instructions where relevant

Providers must:

  • Keep all customer information confidential.
  • Use information only for the purpose of completing the booking.
  • Never disclose customer information to third parties.
  • Never retain customer information longer than necessary.
  • Comply with all applicable UK data protection legislation.

51. Privacy & Data Protection

Providers agree to comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 where applicable.

Providers must not:

  • Copy customer data.
  • Store customer information unnecessarily.
  • Use customer information for marketing outside the Platform.
  • Share customer photographs without permission.

52. Health & Safety

Providers remain responsible for carrying out services safely.

Providers should:

  • Use equipment correctly.
  • Wear suitable clothing.
  • Follow manufacturer instructions.
  • Comply with relevant health and safety legislation.
  • Stop work if conditions become unsafe.

Providers should never place themselves, customers, pets or members of the public at unnecessary risk.


53. Equipment

Unless otherwise agreed, providers are responsible for supplying the equipment required to deliver the booked service.

Equipment should be:

  • Safe
  • Clean
  • Suitable for purpose
  • Properly maintained

Customers may request that their own products or equipment are used.


54. Professional Standards

Providers are expected to:

  • Maintain high standards of workmanship.
  • Be courteous.
  • Respect customer privacy.
  • Respect customer property.
  • Follow booking instructions.
  • Complete bookings to the best of their ability.
  • Maintain professional communication.

NestHappy may monitor provider performance through customer feedback and booking history.


55. Customer Safety

Providers agree to:

  • Respect customers at all times.
  • Never behave aggressively.
  • Never enter restricted areas without permission.
  • Never invite additional persons to a customer's property.
  • Never smoke or consume alcohol or illegal drugs whilst providing services.
  • Leave the property secure upon departure.

56. Future Services

NestHappy intends to expand into additional service categories.

Examples include:

  • Pet Services
  • House Sitting
  • Gardening
  • Home Chef
  • DIY & Handyman
  • Childcare
  • Elderly Companionship
  • Laundry & Ironing
  • Holiday Home Management
  • Other trusted home services

Each service category may have:

  • Different onboarding requirements.
  • Different qualifications.
  • Different insurance requirements.
  • Different DBS requirements.
  • Different service standards.
  • Different provider badges.

NestHappy reserves the right to introduce new requirements before approving providers for additional services.


57. Intellectual Property

All intellectual property belonging to NestHappy, including but not limited to:

  • Logos
  • Branding
  • Website design
  • Mobile applications
  • Images
  • Icons
  • Documents
  • Service descriptions
  • Training materials
  • Policies
  • Platform content

remains the exclusive property of NestHappy Limited.

Providers must not reproduce, copy or distribute NestHappy intellectual property without written permission.


58. Limitation of Liability

NestHappy provides an online marketplace connecting customers with independent self-employed providers.

Except where required by law, NestHappy shall not be liable for:

  • Loss of earnings.
  • Indirect losses.
  • Consequential losses.
  • Business interruption.
  • Customer disputes.
  • Damage caused by inaccurate customer information.
  • Events outside NestHappy's reasonable control.

Nothing within these Terms excludes liability that cannot legally be excluded under the laws of England and Wales.


59. Force Majeure

Neither NestHappy nor the provider shall be liable for failure to perform obligations where such failure results from events beyond reasonable control.

Examples include:

  • Severe weather
  • Flooding
  • Fire
  • Government restrictions
  • National emergencies
  • Industrial action
  • Internet outages
  • Serious illness

60. Changes to these Terms

NestHappy may amend these Provider Terms & Conditions from time to time.

Updated versions will be published on the Platform.

Providers will be notified of material changes where appropriate.

Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.


61. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you have questions regarding these Terms, please contact NestHappy through the official website or Provider App.


63. Provider Declaration

By registering as a provider and accepting bookings through the NestHappy Platform, you confirm that:

  • You have read and understood these Terms & Conditions.
  • All information provided during onboarding is true and accurate.
  • You are legally entitled to provide the services you offer.
  • You will maintain all required insurance and verification documents.
  • You understand your responsibilities as an independent self-employed provider.
  • You agree to comply with all NestHappy policies, service standards and future updates.
  • You understand that failure to comply with these Terms may result in suspension or permanent removal from the Platform.
